    De koers van Crucell (en de handel) is voor het overgrote deel bepaald door een paar partijen die misbruik maken van fondsen waar relatief weinig handel in is. Tevens zoeken ze fondsen die veel PB's uitbrengen en die vaak op de rand van winstgevendheid zitten.

    Hierdoor is de koers makkelijk te bepalen en het sentiment makkelijk te beinvloeden. Al helemaal aanlokkelijk als er derivaten bij betrokken zijn.

    Straks komen er weer eerst geruchten op gang dat de outlook bijgesteld gaat worden en dan blijkt dat toch niet het geval te zijn. Of geruchten van afkeuren net voor een goedkeuring. Posities zijn dan vooraf ingenomen of afgebouwd.

    Tevens is het voor sommige partijen volgens mij makkelijk om voorkennis bij een onderneming als Crucell te krijgen. Dit is mede doordat Crucell vaak afhankelijk is van partners, subsidieverstrekkers, fondsen etc.

    Het kan natuurlijk ook normale handel zijn maar daar geloof ik al lang niet meer in.

    Hallo allemaal,

    Er wordt door iedereen gespeculeerd dat Crucell wordt overgenomen, maar ik denk dat Crucell zelf ook zijn ogen open doet om zelf een overname te doen.

    Het zijn niet alleen de grote jongens die op zoek zijn naar goedkope overnames.

    Dus waarom zou Crucell zelf niet een overname aan het voorbereiden zijn. En dat ze gedeeltelijk cash en met aandelen willen betalen.
    Misschien is Crucell wel ingesprek met nieuwe investeerders om daar de nieuwe aandelen te kunnen plaatsen.
    Wat ik nog herinner, is dit ook gebeurd met de overname van SBL. De nieuwe aandelen waren al geplaatst, en daarna werd het persbericht naar buiten gebracht. En iedereen op dit forum was stom verbaasd

    De hoge volumes van afgelopen tijd kan ook betekenen dat de koers wordt ondersteund door banken of andere grote partijen om zo tot een uitgifte prijs per aandeel te komen waar alle partijen over eens zijn.

    Vergeet niet Crucell wil ook groeien en zal niet stil blijven zitten en toekijken hoe de grote jongens de lekkere hapjes wegkapen.

    Dat er iets aan de hand is staat als een paal boven water. Zeker als je kijkt naar de hoge volumes van afgelopen dagen, en dat we bij het sluiten van de beurs weer nagenoeg sluiten op het slot van de dag daarvoor.

    Dus blijf zitten waar je zit en verroer je niet.
    Crucell wil ook groeien. (zeer belangrijk)

    (Novum/Betten) - Crucell neemt het Zweedse vaccinbedrijf SBL Vaccin over van 3i en SEB voor EUR 39,4 miljoen. Dat heeft het Leidse biotechnologiebedrijf dinsdag bekendgemaakt. Crucell laat verder weten EUR 80 miljoen te willen ophalen met de uitgifte van nieuwe aandelen.

    Met dit geld wil het bedrijf de overname van SBL betalen, de in oktober van dit jaar afgeronde acquisitie van Berna Products Corporation herfinancieren en de uitstaande schuld van Berna Biotech afbetalen.

    SBL is gevestigd in Stockholm en telt 120 medewerkers. Het belangrijkste product van het bedrijf is Dukoral, een oraal vaccin tegen cholera. Met dit vaccin is SBL volgens Crucell markleider.

    Cholera is een infectieziekte die wordt veroorzaakt door de Vibrio cholerae-bacterie. Het belangrijkste kenmerk van de ziekte is ernstige diarree en uitdroging.

    Met de acquisitie versterkt Crucell naar eigen zeggen zijn zogenoemde reisvaccin-afdeling en daarnaast de sales-organisatie is Scandinavie. Over 2005 realiseerde SBL een bedrijfsresultaat (ebit) van EUR 2,6 miljoen op een omzet van ruim EUR 25 miljoen. De kasstroom bedroeg toen EUR 0,6 miljoen.

    In het derde kwartaal van dit jaar kwam de omzet van SBL uit op 17,6 miljoen, werd een bedrijfsresultaat van EUR 0,5 miljoen geboekt en bedroeg de kasstroom EUR 2,7 miljoen.

    NB. SBL was een ex-Chiron dochter !

    PS: denk aan verwerven van de rechten op QV en Epaxal; Novartis is immers gelieerd aan de Indische concurrent en aan Crucell, waardoor geen echte concurrentie ...

    Most boards have a number of shares that they may sell from "time to time"...upping the outstanding shares to a certain number. For Crucell, this total number was 80,000,000 outstanding shares. Is this still correct? Or did they up it at last AGM?

    Total outstanding shares at this time is 65,348,000.

    Is it the opinion on this bord that the activity of this week revolves around Crucell getting ready to purchase another company? Any thoughts on who? Who might be a good fit? Crucell indicated they would like to purchase a company strapped for cash, that had a product on the market, or near to being approved.

    I agree that this is a good probability. The volume seems like a prearranged movement of shares.

    BIRMINGHAM, AL--A small Birmingham, Alabama company, Vaxin, is testing a revolutionary new flu vaccine that could lessen or end flu vaccine shortages, getting the wrong mix of strains, and fears of deadly pandemic flu.

    Vaxin’s influenza vaccine, which has been tested in animal studies and a Phase I human clinical trial, employs a recombinant adenovirus to deliver an influenza antigen to the nose, where it stimulates a protective immune response.

    Needleless vaccine delivery to the nose stimulates multiple arms of the immune system, offering protection at least as good as traditional vaccines, and because the virus is modified to not replicate, it does not have some of the issues associated with live-virus vaccines.

    Game-changing manufacturing method
    The way the vaccine is made could help prevent flu shortages or getting the wrong strains, which happened last year. Vaxin’s flu vaccine is made from cell cultures rather than produced in chicken eggs.

    Among the many benefits to this manufacturing process is that the product availability is not dependent on the long lead times required to secure chicken eggs every year, which may be important especially in the event of a pandemic.

    The use of cell culture manufacturing eliminates the possibility of contamination with the avian flu virus, a risk inherent in egg-based production.

    The Vaxin process provides higher yields, greater quantities in a faster timeframe, and more reliable manufacturing than the egg-based process.

    Also, because the Vaxin process does not need to be adapted to grow in eggs to achieve higher yields, the Vaxin vaccine is “truer” to the strains picked by the regulatory agencies.

    Raising a B round
    Founded in 1997 with technology from the University of Alabama at Birmingham, Vaxin raised close to $25 million from venture capitalists, angel investors, government grants and strategic partnerships. The 12-employee company is seeking a B round of from $15 million to $20 million.

    Current investors include Redmont Venture Partners.

    CEO and President Bill Enright tells TechJournal South the company originally tested a vaccine delivered via a skin patch after UAB scientist De-chu Tang, Vaxin VP and CTO, discovered that rather than acting as a barrier to bacteria, the skin pulls in those it sees often, breaks them down and produced a good immune response.

    Internasal delivery worked a lot better than the skin patch in testing, an unexpected result, which sent the company back to the lab. With a cell line acquired from a Dutch company, it created a new vaccine it’s testing now.

    Its first vaccine targets the bird flu that scientists worry might mutate so that it can be passed from person to person with the possibility of creating a deadly pandemic. It is also working on a typical seasonal flu vaccine.

    100 percent protection in animal studies
    Vaxin’s method of making its vaccines in cell cultures could give it extra time to decide which strains to include in a seasonal flu vaccine, making it more likely it has the right ones. Last year’s flu vaccine missed one strain that made a lot of people sick whether they had flu shots or not.

    “Right now they decide on which strains should go in the flu vaccine in February. We think we could wait until March or April,” says Enright, who joined Vaxin in June. Prior to Vaxin, he was head of business development at GenVec, where he helped the company raise $140 million in funding for vaccine related initiatives.

    Vaccines are tested the same way drugs are and must go through a series of clinical trials for safety, efficacy and dosage. The company expects to begin another Phase I human clinical study within a few weeks.

    In animal tests, Enright says, it provides 100 percent protection.

    Initial product development is targeted towards an improved influenza vaccine manufactured in cell culture, and vaccines for anthrax, RSV and tetanus/diphtheria. Earlier stage programs include therapeutic vaccines to address disease targets such as Alzheimer’s and cancer.

    Vaxin uses the PER.C6© cell line, licensed from the Dutch biotechnology company Crucell©, as the manufacturing substrate for production of RCA-free adenovirus-vectored vaccines. The advantage of using this highly-characterized cell line is that it permits the production of high-titer recombinant adenovirus vectors that do not replicate in animals or humans. This is a very important feature in terms of product safety. Moreover, Vaxin Scientists have developed the novel AdHigh system for rapid generation of RCA-free adenovirus vectors in PER.C6 cells within one month. The disadvantages associated with adenovirus vectors during gene therapy trials (e.g., transient transgene expression from the vector; hexon-mediated adjuvant effect) appear as remarkable advantages when the vector is used as a vaccine carrier. Effective immunization by adenovirus-vectored nasal vaccines in the presence of pre-existing immunity to adenovirus has been demonstrated in animal models and early phase human studies.

    In a phase I human clinical trial, a replication-defective adenovirus vector encoding an influenza hemagglutinin (HA) gene was administered to healthy volunteers. The adenovirus-vectored vaccine was safe when administered intranasally or topically. The immune response was more robust following intranasal delivery and provides the foundation for continued clinical development.

    In addition to adenovirus-vectored vaccines, Vaxin Scientists have demonstrated that animals could be effectively immunized against live pathogens (e.g., Clostridium tetani cells and Bacillus anthracis spores) by topical application of non-replicating Escherichia coli (laboratory strains) vectors overproducing pathogen-derived antigens. This novel vaccination modality is amenable to large-scale, rapid, low-cost production, distribution, and administration for vaccination in general, and specifically for mass immunizations.

    Vaxin scientists and their associates have also shown that intranasal co-administration of adenovirus vectors encoding α-amyloid β-protein (Aβ) and granulocyte macrophage colony stimulating factor (GMCSF) could reduce amyloid load in the brain of transgenic Alzheimer mice without any appreciable side effects. The impact of this development would be great if this approach should prove effective in human Alzheimer patients.

    In addition to the development of human vaccines, Vaxin Scientists and their associates have effectively immunized chickens against avian influenza by in ovo inoculation of non-replicating adenovirus-vectored avian influenza vaccines. This mode of vaccination is expected to emerge as a cost-effective approach for immunizing poultry en masse because adenovirus-vectored vaccines can be produced rapidly in response to emergence of new avian influenza virus strains. Moreover, the non-replicating vector is not associated with any biohazards and can be administered into a large number of embryonated eggs by a robotic injector in a time- and labor-saving manner.

    Zonder alles verder uit te pluizen denk ik dat CRXL heeft aangegeven dierenvaccins geen core business te vinden. Daartoe hebben ze in het verleden ook wat Duitse clubs verkocht welke zich daarmee bezig hielden. Nee, geen dieren en het liefst infectieziekten. Daar moet het gezocht worden.

    Het kan bijna niet anders dan dat Crucell zelf onderhands aandelen aan het plaatsen is bij een grote partij, de vrij gekomen cash middelen kunnen bijna niet anders worden ingezet dan om een overname in cash te financieren (gezien Brus opmerkingen gedaan in Londen). Voorhand de aandelen verkopen en een overname in cash, zal bij bekendmaken vd overname angst op aandeel verwatering bij aandeelhouders voorkomen en een koersdaling beperken. Daarbij kan het vandaag helpen om een algemene koersdaling te voorkomen aangezien Crucell’s hoge beta ten aanzien vd index, door de bied en laat met hoog volume in de bepaalde bandbreedte te houden.

    Als institutionele beleggers zouden weten dat DSM Crucell over zou nemen, of daar lucht van zouden krijgen, gaan zij heus niet de aandelen aanbieden voor 10,40.
