    Rocket Software and Seagull Software Enter into Letter of Intent for Rocket Software to Acquire Seagull Software

    Synergistic Combination Would Comprise Over 100 Products, Large Enterprise
    Customer Base, and Robust OEM and Direct Sales Channels

    AMSTERDAM, Netherlands, ATLANTA, and NEWTON, Mass., Dec. 5
    -- Enterprise software suppliers Rocket Software and Seagull Software
    announced today that the companies have signed a letter of intent for
    Rocket Software, Inc. to make a public offer to acquire 100% of the shares
    and outstanding stock options of Seagull Holding N.V. (the parent holding
    company of all Seagull Software entities) in an all-cash transaction valued
    at euro 4.68 per share. The letter of intent includes customary binding
    provisions relating to costs, confidentiality, exclusivity, competing
    offers, break-up fees and standstill. The remainder of the letter of intent
    is non-binding on the parties.
    The acquisition is subject to certain requirements including due
    diligence; execution of a mutually-acceptable definitive purchase
    agreement; approval of financing by Rocket Software's financing
    institutions; approval by the Supervisory Board of Seagull Holding N.V. and
    various other customary conditions. Accordingly, while completion of the
    transaction is targeted for the first quarter of 2007, no assurances can be
    made that the transaction will be consummated.
    Newton, Massachusetts-based Rocket Software is a privately-held company
    with over 350 employees across its operations in the United States, Europe
    and Asia. Consistently profitable since its founding in 1990, Rocket
    Software has a history of successful acquisitions. Many of the company's
    products are licensed on an OEM basis and sold under global brand names
    such as IBM, Microsoft, RSA, EMC, Motorola, Lucent, and HP.
    Also founded in 1990, Seagull Software's holding company shares are
    publicly traded on the Euronext stock exchange in Amsterdam. The company
    has 170 employees across its corporate offices in the Netherlands and
    United States and its subsidiaries in Canada, the United Kingdom, France

    RTRS-Vriendelijk bod op Seagull
    AMSTERDAM (ANP) - Het Amerikaanse softwarebedrijf Rocket
    Software wil branchegenoot Seagull overnemen. Daartoe is een
    intentieverklaring getekend, meldden de bedrijven dinsdag in een
    gezamenlijke verklaring.

    Rocket biedt 4,68 euro per aandeel Seagull. Dat is ruim het
    dubbele van de slotkoers van het aandeel Seagull maandag. De
    partijen verwachten dat de fusie in het eerste kwartaal van
    volgend jaar kan worden beklonken.

    Amsterdam (BETTEN BEURSMEDIA NEWS) - Het Amerikaanse Rocket Software wil het op Euronext Amsterdam genoteerde softwarebedrijf Seagull overnemen voor EUR 4,68 per aandeel in contanten. Beide partijen hebben hiertoe een intentieverklaring getekend. Het aandeel Seagull sloot maandag op EUR 2,23.

    Op basis van EUR 4,68 wordt Seagull gewaardeerd op EUR 42,1 miljoen. De laatste keer dat het aandeel Seagull op EUR 4,68 noteerde was in april 2004. Seagull kwam in februari 1999 naar het Damrak voor EUR 15,00 per aandeel.

    Momenteel vindt er een boekenonderzoek plaats. De transactie moet nog wel door diverse partijen en instanties worden goedgekeurd, maar Rocket en Seagull streven naar afronding van de acquisitie in het eerste kwartaal van 2007.

    De private onderneming Rocket Software telt 350 medewerkers en is actief in de Verenigde Staten, Europa en Azie. Seagull werd in 1990 opgericht en is gevestigd in Dordrecht.

    Seagull heeft 170 medewerkers en hoofdkantoren in Nederland en de Verenigde Staten. Daarnaast heeft het softwarebedrijf vestigingen in Canada, het Verenigd Koninkrijk, Frankrijk en Duitsland.

    Het bedrijf houdt zich bezig met software waarmee oudere software-applicaties gebruikt kunnen worden op het internet. Het bedrijf kent zo'n 2.000 klanten, waaronder FedEx, Nissan, VNU-dochter Nielsen Media Research en AOL Time Warner.

    AMSTERDAM (ANP) - Het Amerikaanse softwarebedrijf Rocket Software wil
    branchegenoot Seagull overnemen. Daartoe is een intentieverklaring getekend,
    meldden de bedrijven dinsdag in een gezamenlijke verklaring.

    Rocket biedt 4,68 euro per aandeel Seagull. Dat is ruim het dubbele van de
    slotkoers van het aandeel Seagull maandag. De partijen verwachten dat de fusie
    in het eerste kwartaal van volgend jaar kan worden beklonken.

    Volgens Rocket-topman Andy Youniss passen de bedrijven ,,uitstekend'' bij
    elkaar. De fusie is vooral ingegeven door schaalgrootte. Beide bedrijven werden
    in 1990 opgericht. Tezamen werken er meer dan 500 mensen.

    mochten de boeken niet kloppen oid en het bod niet doorgaan,dan valt seagull terug naar bv 2,25
    Is toch een keuze: 40 cent winnen kans bv 20 %
    of 2 euro verliezen kans 80 %
    Zo ligt blijkbaar de inschatting.Ju kunt overigens ook zelf de rest van je portefeuille verkopen en al je geld in seagull steken als het voor jou wel een zekerheid is(leuk rendement).

    blog iex snapt overnameprijs ook niet

    [PvK] Je hebt beleggers die rijk zijn geworden omdat ze in negen louche, corrupte goudfondsjes aan de beurs van Toronto zitten. Hoezo rijk? Nou, omdat nummer tien 'toevallig' wel een goudmijn blijkt en een paar duizend procent stijgt. Daarmee worden de andere negen flaters van 99% verlies ruimschoots goedgemaakt. Sommige beleggers zoeken op dezelfde manier hun heil dichter bij huis. Ze kopen de LCI's, Landisjes en Antonovjes van het Damrak in de hoop dat er één big cat tussen zit. Veel pijn, veel frustratie, maar als het moment daar is, dus is de vreugde des te orgastischer.

    Vandaag is zo'n dag. Alle beleggers met Nederlandse brandhoutportefeuilles, of kom laten we wat beleefder zijn vandaag, met schone slaapsters in de portefeuille veren op, op het nieuws dat 'ons' Seagull wordt overgenomen door Rocket Software. De Amerikanen willen een slordige 4,68 euro betalen voor Seagull. U hoort het goed, 4,68 euro. Gisteren sloot het aandeel op 2,23 euro - waarmee de Amerikanen (wat weten zij dat wij niet weten?) bereid zijn een premie te betalen van 109,8%. Of zijn ze in hun onderzoek niet verder gekomen dan februari 2004 toen Seagull rond die koers noteerde?

    De halfjaarcijfers, krap twee weken geleden, zorgden nog voor een daling van de koers met 17% - dus de operationele gang van zaken is nou ook niet echt om over naar Amerika te schrijven. Seagull maakte zelfs bekend weer rode cijfers te moeten gaan schrijven over het eerste halfjaar 2006/2007.

    Het is vandaag in elk geval een heugelijke dag voor Kempen (zelf grootaandeelhouder en via haar Orange Oranje Participaties) en voor Marius Ritskes die een belang heeft van ruim 10%. "Hé, Ritskes?", zegt u? Precies, Ritskes. De man die grootaandeelhouder is van Antonov (via zijn vehikel Quivest) en gisteren omzet verkocht aan datzelfde kwakkelende bedrijf door via zijn Emporio voor twee miljoen euro licenties te kopen.

    Ritskes heeft 4,8 miljoen aandelen Antonov en werd gisteren met de koersstijging van 12 eurocent in één klap 576.000 euro rijker. Daarmee had hij ruim een kwart van zijn investering binnen 24 uur terugverdiend. Met Seagull (ruim 800.000 aandelen) kan hij vandaag de rest opstrijken. Waarmee we terug zijn bij het begin van dit blogje, toen we uitlegden hoe je met negen brandhoutaandelen in je portefeuille toch zomaar miljonair kunt worden.

    Seagull noteert vlak na opening 92% hoger.
    Da's een mooi ritske, nietwaar?
