    dit betreft de equity investment die onmiddellijk bij de deal werd uitgevoerd:

    Cosmo has also made a strategic equity investment in Acacia Pharma of €10 million by agreeing to subscribe for 4,347,826 new ordinary shares of 2p in Acacia Pharma at a price of €2.30 per share, based on the closing price on 8 January 2020. Following this investment, together with the shares issued in respect of the licensing agreement, Cosmo will own 8,994,667 ordinary shares of 2p in Acacia Pharma, representing 14.08% of its enlarged share capital.

    de tweede equity investment betreft de 10 miljoen die ze gingen lenen bij Cosmo na de goedkeuring van Barhemsys. Zie hieronder. Deze 10 miljoen werd niet geleend maar omgevormd naar een investment aan 3,11€/aandeel.

    In addition, Cosmo will make available to Acacia Pharma a new loan facility of up to €35 million, conditional on the achievement of certain specified milestones and in two tranches:
    €10 million will become available on the US approval of BARHEMSYS, and
    €25 million will become available upon the US approval of BYFAVO.

    the €10 million loan facility that was made available on the approval of BARHEMSYS® is terminated and replaced with a €10 million equity investment at a price of €3.112 per share,

    Issue of Equity pursuant to Sub-Licensing Agreement With Cosmo Technologies

    Cambridge, UK and Indianapolis, US – 16 July 2020: Acacia Pharma Group plc (the "Company”) (EURONEXT: ACPH), a commercial stage biopharmaceutical company focused on developing and commercializing novel products to improve the care of patients undergoing serious medical treatments such as surgery, invasive procedures, or chemotherapy, announces that application has been made to Euronext Brussels for the admission of 4,923,811 Ordinary Shares of £0.02 each (the “New Ordinary Shares”) to trading on Euronext Brussels ("Admission").

    The New Ordinary Shares are being issued by the Company at a price of €3.046 per share following approval of BYFAVO™ by the US Food and Drug Administration ("FDA") pursuant to the terms of the BYFAVO™ sub-licensing agreement with Cosmo Technologies Limited ("Cosmo"). In addition, the Company will also make a payment to Cosmo of €15 million in cash pursuant to the BYFAVO™ sub-licensing agreement following FDA approval of BYFAVO™. As announced on 15 July 2020, the US licensing rights to BYFAVO™ have been directly assigned by Cosmo to the Company.

    The New Ordinary Shares will rank pari passu in all respects with the Company's existing Ordinary Shares in issue. Admission is expected later today.

    Wel, na alles (ook Uw posts) nog eens goed nagelezen te hebben, merk ik dat we toch op dezelfde golflengte zijn (ik bedoelde de eerste omzetting in aandelen) en niet deze die vandaag uitvoering heeft.... blijft één vraagteken, waarom denkt U dat Cosmo zich terug trekt, daar waar ik van mening ben dat alles, zoals voorzien, zijn uitvoering krijgt?... en dat er zodus niets gewijzigd is t.o.v. de originele overeenkomst (behoudens de directe toegang tot informatie / verkooppatroon Paion-Acacia)

    Wel één iets die nog aan bod moet komen. De 25 milj. die vrijkomt bij Cosmo voor Acacia.

    Zullen ze dit lenen of net zoals de 10 milj bij de deal Barhemsys omzetten in equity investment.
    Volgens mij moeten ze deze laatste 25 milj wel lenen anders weet ik niet waar ze het geld van blijven halen. Maar ik vind het zeer vreemd dat dit niet in hetzelfde PB staat. Hoe betalen ze die 15 milj cash nu? als ze nog niet geleend hebben...

    Zal idd wel in 1 keer gaan. EUR25m lenen en dan EUR15m betalen in cash en wellicht is dit al gedaan. Ze hoeven niet alles te melden met een persbericht. Staat allemaal in het persbericht waar de deal destijds is beschreven en in de jaarrekening. Het feit dat er nieuwe aandelen worden uitgegeven is anders en vraagt wel om een persbericht.
