Time Warner Inc.'s cable-television unit plans to offer customers a way to obtain new features faster as it competes with telephone companies for dominance of the digital home.

In the deal, set to be announced today, Time Warner Cable has agreed to upgrade as many as four million of its cable set-top boxes with operating software developed by OpenTV Corp. The software will make it possible to load a wide range of applications developed by third parties on the set-top boxes.

Financial terms of the deal with OpenTV, of San Francisco, weren't publicly disclosed, but people familiar with the matter estimated the transaction initially could be valued at as much as $16 million. Set-top boxes convert cable signals into content for TV screens.

New York-based Time Warner, the country's second-largest cable operator by the number of subscribers, has been trying to accelerate its rollout of new features to stay ahead of phone companies, which are getting into the TV distribution business using advanced technology. In the past year, the company has begun to offer such things as interactive polling, caller ID and eBay auction information on TV sets. It also has launched "Start Over," a service that enables viewers to watch a program from the beginning even if they tune in while the show is in progress.

One of the obstacles slowing new technology in the cable industry has been that different cable systems use set-top boxes and network gear provided by different vendors, primarily Motorola Inc. and Cisco System Inc.'s Scientific-Atlanta division. New features are difficult to launch because they sometimes have to be modified for the different systems.

This hasn't been a huge problem for Time Warner, because, until now, 90% of its systems have used Scientific-Atlanta technology. But Time Warner and Comcast Corp. are scheduled to close this summer a $16.9 billion deal to acquire the cable systems of Adelphia Communications Corp. Time Warner will add roughly 3.5 million subscribers, for a total of 14.5 million, and most of the new additions will be in Motorola systems.

Time Warner executives say that the OpenTV software eventually may also be used on Scientific-Atlanta boxes, which already make many of the new features possible.
