    Amsterdam (BETTEN BEURSMEDIA NEWS) - IsoTis, een Nederlands/Zwitserse ontwikkelaar van botvervangers, heeft het omruilbod op aandelen IsoTis SA in aandelen IsoTis Inc. onvoorwaardelijk verklaard.

    Het bedrijf deed het omruilbod omdat het voortaan genoteerd wil zijn aan de Nasdaq. De handel op de Nasdaq gaat vrijdag van start. De noteringen in Amsterdam, Toronto en Zurich zullen volgens het bedrijf zo snel mogelijk worden gestaakt.

    Volgens IsoTis zijn bijna 53,2 miljoen aandelen IsoTis SA aangeboden tot omwisseling, ofwel 74,96% van het uitstaand aandelenkapitaal. Bij volledige verwatering gaat het om 67,37% van het dan uitstaand kapitaal. IsoTis biedt per 10 aandelen IsoTis SA e e n aandeel in IsoTis Inc.

    Het bedrijf geeft andere aandeelhouders nog de tijd om tot 7 februari 2007, 16.00 uur Nederlandse tijd, hun aandelen aan te bieden.

    IsoTis Inc. declares Exchange Offer unconditional. Shareholders who have not yet tendered their shares under the Exchange Offer have the opportunity to tender their shares in a post-acceptance period. The post-acceptance period begins today at 09:00 hours CET, and expires at 16:00 hours CET, on
    7 February 2007. Shareholders can tender their shares in the same manner and subject to the same conditions as described in the Offer Memorandum.
    IsoTis Inc. intends to terminate the Company's listing on SWX Swiss Exchange, Euronext Amsterdam N.V. and the Toronto Stock Exchange as soon as possible. Also IsoTis Inc. intends to squeeze-out or compensate (squeeze-out merger) any remaining Shareholders to the extent permitted by law. The IsoTis shares have been authorized for listing on the NASDAQ Global Market. Trading of the IsoTis US Shares on the NASDAQ Global Market is expected to commence on 26 January 2007 under the ticker symbol ISOT

    hoewel ik blij ben dat de omruiling doorgaat en we op de Nassie staan, twijfel ik heel erg aan een stijging. Is de koers anders de laatste tijd naar beneden gemanipuleerd? Ik denk eerder aan minder vertrouwen in Isotis; ik heb het aandeel zelf ook al lang, gebeurt weinig mee.....buiten een gestage daling

    Het symbool voor Isotis is op de Nasdaq toch ISOT ? Zou het niet voor de hand liggen dat het dan op die manier te voorschijn moet komen?

    Wel leuk om even te kijken wat dit nog meer kan betekeken.
