    KARDAN PROPOSES CHANGES TO MANAGEMENT AND SUPERVISORY BOARD

    Amsterdam, 28 April 2005 – Kardan N.V. (Kardan) announces that the Supervisory Board of Kardan N.V. intends to nominate Mr. Zachary Rubin and Ms. Einat Gabber to the Board of Management and Mr. Max Groen to the Supervisory Board.

    These proposals shall be put before the shareholders at the Annual General Meeting of Shareholders (AGM). The AGM shall be held on 19 May 2005 in Amsterdam and concurrently in Tel-Aviv, Israel.

    As announced in the annual results release dated 31 March 2005, Mr. Hagai Harel, will resign from the Board of Management effective half July. Furthermore, Mr. Boudewijn Bremer will step down from the Board of Management as per the date of the AGM. After all changes have become effective, the Board of Management will consist of Alon Shlank, Zachary Rubin and Einat Gabber.

    Zachary Rubin has a background in investment banking and private equity. He has worked for Goldman Sachs International in London and BNP Paribas in Amsterdam. He holds a degree in tax law. Einat Gabber has been with Kardan since 2003 as the financial controller of the Group. Before Kardan, she has been working as an accountant and auditor in both the Netherlands and Israel, among others with Deloitte & Touche. She holds a degree in economics and accounting.

    Max Groen is currently partner of KPMG Business Advisory Services/KPMG Accountants. He holds a degree in Economics and a Postgraduate Degree in Accountancy (register accountant). He is planning to retire as per 1 July 2005, after a successful career within KPMG of more than 30 years. His appointment to the Supervisory Board will become effective as from this same date. The Supervisory Board will then consist of: Mr. Joop Krant (chairman), Ms. Karnina Rechter, Mr. Jay Pomrenze, Mr. Henri Alster, Mr. Avner Schnur, Mr. Israel Fink and Mr. Max Groen.

    The formal announcement of the Annual General Meeting of Shareholders will be made in the customary manner. The proposed remuneration, to be approved by the AGM, will be included in the notes to the agenda, which will be made available concurrently with the agenda.

    AMSTERDAM (Dow Jones)--Een deelneming van Kardan verkoopt voor circa 64 miljoen euro zijn controlerend belang in een Roemeense verzekeringsmaatschappij. Kardan boekt een winst van 22 miljoen tot 27 miljoen euro op de verkoop.

    Een deelneming van investeringsmaatschappij Kardan, TBIH Financial Services Group (TBIH), doet het belang in Omniasig van de hand. De kopende partij is de Oostenrijkse verzekeringsmaatschappij Wiener Stadtische Allgemeine Versicherung.

    Kardan blijft wel actief in de markt voor levensverzekeringen in Roemenië via TBIH. De onderneming neemt een belang van 50% in een dochter van Omniasig, Omniasig Life.

    Kardan, dat een notering heeft in Amsterdam, heeft ongeveer 49% van de aandelen van TBIH in handen.

    /Koers gaat al weer aardig de goede kant op. De 3 euro zelfs al even geraakt vanmorgen.We zullen kijken wat de rest van de week ons gaat brengen.

    ANNOUNCEMENT - KARDAN SIGNS AGREEMENT FOR INVESTMENT IN TELEDATA

    Amsterdam, 10 May 2005 – Kardan N.V. (Kardan) announces that its subsidiary, Teledata Networks Ltd. (Teledata), signed an agreement with Elron Electronic Industries Ltd. and FBR Infinity II Ventures, a venture capital fund, for an investment of USD 19 million in Teledata in exchange for issuance of preferred shares in Teledata.

    Teledata, a subsidiary of Kardan Communications Ltd. (a wholly owned subsidiary of Kardan), is a leading provider of innovative access products and solutions for both traditional and next generation networks to telecom operators and service providers worldwide.

    The share issuance will lead to a dilution of Kardan’s (indirect) stake from 50.01% to 37.5%.

    It is Teledata’s intention to use the funds injected by the new investors, in addition to funds generated by the company, to look for a potential purchase of a company or companies which are synergetic to Teledata’s sphere of operation.

    The investment by Elron also offers Teledata access to the knowledge and network of a strategic partner in the technology field.

    Elron Electronic Industries Ltd. is listed on TASE and NASDAQ and is engaged in the fields of medical devices, communication, IT software, semiconductors and advanced materials.
